Terms of Use

• Effective Date: 14 July 2025. These Terms supersede all previous versions.

• “Company” or “Paywize” means Paywize Technologies Pvt. Ltd., a company incorporated under the Companies Act, 2013, having its registered office at 2nd Floor, M.R. Complex, 7th Cross, 6th Main Road, BTM 2nd Stage, Bengaluru, Karnataka 560076.
• “Merchant” means any individual, sole proprietor, partnership firm, limited liability partnership, private limited company, public limited company, or other legal entity that registers with Paywize to avail the Services.
• “Technology Service Provider” or “TSP” means a technology entity that provides software, APIs, integration, orchestration, workflow, dashboard, reconciliation, and related technology capabilities to enable businesses to connect with licensed banking, payment, or other regulated partners. Paywize does not, solely by providing such technology, act as a bank, payment aggregator, payment system operator, card issuer, NBFC, wallet provider, or custodian of Merchant funds.
• “Licensed Partner” means the relevant bank, payment service provider, payment aggregator, issuer, regulated financial institution, or other appropriately authorised entity through which regulated financial services may be provided.
• “Services” means the technology capabilities made available by Paywize, including:

• Payout workflow technology
• Collection workflow technology
• Connected Banking integrations
• Reconciliation and reporting tools
• APIs
• Dashboards
• Webhooks
• Integration tools
• Sandbox and testing environments

• “API” means the Application Programming Interface provided by Paywize for integration.
• “KYC” refers to Know Your Customer verification, and “KYB” refers to Know Your Business verification.
• “Applicable Law” means all Indian laws, including RBI and NPCI guidelines, as applicable.

• These Terms apply to and are accepted through any of the following:

• Account registration
• Platform access
• API integration
• Use of Paywize Services

• By undertaking any of the above, the Merchant agrees to be bound by these Terms of Use and all Applicable Law, forming a legally binding agreement.
• Where applicable, a separate commercial agreement, order form, or service agreement may govern the relevant commercial relationship, and shall take precedence to the extent of any inconsistency.

• Other businesses or legal entities approved by Paywize

• Registration Requirements

• Meet the minimum age requirement where applicable
• Provide accurate registration information
• Complete KYC/KYB and verification
• Carry on lawful business activity
• Comply with these Terms and Applicable Law

• Account Verification

• Paywize may collect, review, validate, or facilitate the submission of KYC/KYB information.
• Final onboarding and regulatory approval may depend on the applicable Licensed Partner.

• Additional Requirements

• Paywize and/or the Licensed Partner may request additional information for legal, regulatory, banking-partner, risk, or compliance requirements.

• Paywize acts as a Technology Service Provider and provides software, APIs, integration, orchestration, workflow, and related technology capabilities.
• Where regulated financial activity is involved, the underlying regulated service is provided by the applicable Licensed Partner. Paywize does not hold Merchant funds or independently provide regulated banking or payment services unless expressly authorised under Applicable Law.

• Merchant dashboard
• APIs and SDKs
• Sandbox and testing environment
• Webhooks
• Transaction monitoring
• Reconciliation and reporting tools
• Other Paywize technology features

• Lawful use of the Services
• Accurate business and KYC information
• Maintenance of transaction and business records
• Compliance with Applicable Law
• Protection of API credentials
• Implementation of security controls
• Use of HTTPS for API integrations
• Secure webhook endpoints
• Webhook signature verification
• Error handling
• Transaction reconciliation
• Security incident reporting
• Cooperation with compliance, risk, and fraud investigations

• Prohibited Activities

• Prohibited activities include gambling, money laundering, illegal trade, or unauthorised cross-border remittances.

• Merchants must not:

• Expose API secrets or private credentials in client-side applications
• Share credentials with unauthorised persons
• Use production credentials in insecure environments
• Circumvent API security controls or rate limits
• Attempt unauthorised access to systems, data, or endpoints

• Applicable authentication, encryption, rate limiting, and webhook verification controls apply to all integrations.

• Fees are governed by the applicable commercial agreement or pricing plan
• Applicable taxes are payable in addition to the stated fees
• Transaction-related charges may apply
• Charges for settlement or regulatory services provided by a Licensed Partner may apply
• Fees may be revised from time to time
• Notice will be provided in accordance with the applicable notice requirements
• A separate commercial agreement takes precedence to the extent of any inconsistency

• Paywize may:

• Restrict platform access
• Request additional information
• Suspend API credentials
• Block technology features
• Escalate activity to relevant partners

• Licensed Partners may:

• Approve or reject transactions
• Delay settlements
• Freeze or restrict funds where legally permitted
• Apply regulatory controls

• Merchant Liability

• Merchants are liable for disputes and chargebacks arising from their transactions.

• No Paywize Wallet or Fund Custody

• Paywize does not maintain or operate a Merchant wallet and does not independently hold Merchant settlement funds, unless expressly permitted under Applicable Law.
• Where recovery or adjustment involves funds or settlements maintained by a Licensed Partner, the applicable Licensed Partner handles the action in accordance with its terms and Applicable Law.

• Paywize follows its applicable privacy and data protection practices
• Merchants are responsible for lawful collection, processing, and sharing of information
• Technical and organisational safeguards are maintained
• Security breaches will be notified in accordance with Applicable Law
• Applicable data retention requirements are observed

• All intellectual property rights belong to Paywize, including in respect of the:

• Platform
• APIs
• Software
• Documentation
• Branding
• Designs
• Interfaces
• Related technology

• Merchants are granted a limited, non-exclusive, non-transferable right to use the Services for their permitted business purposes.
• Copying, modification, reverse engineering, distribution, and resale are prohibited.

• Paywize aims to provide reliable and secure Services but does not guarantee uninterrupted or error-free availability.
• Availability may be affected by:

• Banking-partner availability
• Payment network or infrastructure outages
• Scheduled maintenance
• Internet or telecommunications failures
• Regulatory requirements
• Security incidents
• Force majeure
• Other circumstances outside Paywize’s reasonable control

• Liability Cap

• Liability is limited to the fees paid in the previous 30 days.

• Excluded Damages

• Paywize is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity.

• Neither party is liable for performance failures caused by events beyond its reasonable control, including:

• Natural disasters
• War
• Government actions
• Regulatory changes
• Banking or payment network failures
• Telecommunications failures
• Cyber incidents
• Other events beyond reasonable control

• Paywize may suspend or terminate access where reasonably necessary due to:

• Fraud or suspected fraud
• Violation of these Terms
• Violation of Applicable Law
• Material security risks
• Regulatory or banking-partner requirements
• Misuse of the Services
• Non-payment
• Other circumstances permitted by the agreement

• Licensed Partner Restrictions

• Licensed Partners may independently impose restrictions relating to regulated payment processing, banking services, settlement funds, or partner-provided services.

• Post-Termination

• Pending obligations continue after termination.

• Paywize is a Technology Service Provider. It provides:

• Software
• APIs
• Integration
• Orchestration
• Workflow
• Reconciliation
• Dashboard
• Related technology capabilities

• Regulated services such as banking, payment processing, settlement, card issuance, and virtual accounts are provided by applicable Licensed Partners.
• Unless expressly authorised under Applicable Law, Paywize does not operate as:

• A bank
• A payment aggregator
• A payment system operator
• An NBFC
• A card issuer
• A wallet provider
• A custodian of Merchant funds

• Paywize does not maintain deposit accounts, wallets, or settlement accounts for Merchants, and does not independently take custody of Merchant funds solely by providing the Services.
• Any account, settlement, virtual account, escrow arrangement, card programme, or other regulated financial arrangement is maintained and provided by the applicable Licensed Partner.

• Governing Law

• The laws of India apply.

• Dispute Resolution

• Arbitration in Bengaluru under the Arbitration and Conciliation Act, 1996.

• Jurisdiction

• Courts in Bengaluru, Karnataka, subject to Applicable Law and the dispute-resolution provisions above.

• Paywize may update these Terms to reflect:

• Service changes
• Business practices
• Legal requirements
• Regulatory obligations

• Where required, appropriate notice of material changes will be provided. Continued use after the effective date constitutes acceptance to the extent permitted by Applicable Law.

• Entire Agreement

• These Terms, together with any applicable commercial agreement, constitute the entire agreement between the parties in respect of the Services.

• Severability

• If one clause is invalid, the rest remains effective.

• Waiver

• No waiver is deemed ongoing unless made in writing.

• Assignment

• Rights cannot be assigned without Paywize’s consent.
